Terms of Service

These Terms of Service ("Terms") govern your use of the PATO application and platform ("Service") operated by Neziak Design ("we", "our", "us"). By accessing or using the Service, you agree to these Terms.

1. The Service

PATO is an AI-powered fitness and gym management platform. For individual members, PATO provides AI coaching, nutrition and workout tracking, meal and workout plans, gamification, and rewards. For gym owners, PATO provides a member management dashboard, analytics, class scheduling, billing, and engagement tools.

The Service is available as a web application at app.pato.nz and as a native mobile app. A gym management dashboard is available at dash.pato.nz.

2. Eligibility

You must be at least 16 years old to use PATO. By creating an account, you confirm that you meet this age requirement.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating your account. You may not share your account with others or create multiple accounts.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. AI Coaching Disclaimer

PATO's AI coaching features provide general fitness and nutrition guidance. PATO is not a medical professional, dietitian, or certified personal trainer. The advice, meal plans, workout plans, and recommendations provided by the AI are for informational purposes only.

• Always consult a qualified healthcare professional before starting any new exercise or nutrition programme, especially if you have medical conditions or injuries.
• Do not rely on PATO for medical diagnoses, treatment decisions, or emergency health situations.
• You use AI-generated plans and recommendations at your own risk.

5. Gym Subscriptions & Billing

If your gym uses PATO for membership billing, payments are processed via GoCardless Direct Debit. By setting up a payment mandate, you authorise recurring charges according to your gym's billing plan.

• Billing terms (amount, frequency) are set by your gym, not by PATO.
• Cancellation and refund policies are determined by your gym's own terms.
• PATO facilitates the payment technology but is not a party to your gym membership agreement.

6. Gym Owner Subscriptions

Gym owners subscribe to PATO on a monthly or annual plan. Pricing is listed at pato.nz. Plans are billed in advance and are non-refundable for the current billing period. You may cancel at any time, and your access will continue until the end of the paid period.

We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honoured at their current rate until renewal.

7. Your Content

You retain ownership of all content you submit to PATO (photos, messages, logs, profile information). By using the Service, you grant us a limited licence to process this content to provide the Service (e.g., sending your messages to AI providers for coaching responses).

You must not submit content that is illegal, harmful, abusive, or infringes on others' rights.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to the Service or other accounts
• Reverse engineer, decompile, or extract source code from the Service
• Use automated tools to scrape, crawl, or overload the Service
• Impersonate another person or misrepresent your affiliation
• Interfere with or disrupt the Service for other users

9. Intellectual Property

The PATO brand, logo, design, and software are owned by Neziak Design. You may not copy, modify, distribute, or create derivative works from our intellectual property without written permission.

10. Limitation of Liability

To the maximum extent permitted by New Zealand law:

• The Service is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
• Our total liability to you shall not exceed the amount you have paid us in the 12 months preceding the claim.
• We are not liable for injuries, health issues, or adverse outcomes resulting from following AI-generated fitness or nutrition advice.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

12. Termination

You may delete your account at any time by contacting us at hi@pato.nz. We may terminate or suspend your access if you violate these Terms, with or without notice.

13. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date above. Continued use of the Service after changes constitutes acceptance of the new Terms.
